The agreement
These terms are the agreement between Altavise Group LLC, which operates DemandSwarm ("DemandSwarm", "we"), and the business that signs up ("you"). By creating an account you agree to them, and to the Acceptable Use Policy and Privacy Policy, which are part of this agreement.
1. What the service does
You describe your business and an offer. DemandSwarm finds businesses that may fit, identifies one named person at each, drafts an email in your name, sends it from mailboxes set up for your account, sends at most two follow-ups, and shows you the replies with a suggested answer.
Parts of this are done by AI models. AI can make mistakes. That is why drafts are checked against your own stated facts before they go out, and why a drafted answer to a reply is only sent after you approve it.
2. Who can use it
The service is for businesses in the United States, not consumers. The person who signs up confirms they have authority to bind the business. You are responsible for everyone you invite to your account.
3. You are the sender
Emails go out under your name, for your offer, at your direction. You are the sender of those emails for legal purposes, including under the US CAN-SPAM Act. You are responsible for the truth of your offer and profile, for keeping a valid postal address on file, and for honoring anyone who asks you to stop.
We provide the tools that make this simple to do well, and the Acceptable Use Policy sets out the rules. We also honor opt-outs ourselves: a person can ask us to block email from every DemandSwarm customer, and we will.
4. Sending domains and mailboxes
We register sending domains and create mailboxes for your account, so that your everyday email address is never put at risk. DemandSwarm registers and holds these domains and mailboxes for the life of your account. They are not transferred when an account ends. After it ends they are retired.
New mailboxes need a warm-up period, usually two to three weeks, before they send at full pace. We will show you where that stands.
5. Plans, limits and payment
Plans are billed in advance in US dollars, by card, through our payment provider: every month, or once a year if you choose an annual plan. You give us a card when you sign up, but nothing is charged that day. Your first payment, for the first month or for the first year on an annual plan, is charged when your swarm first reaches out to a business, by any channel, or seven days after you sign up, whichever comes first. If the sending addresses we set up for you are not ready by then, we move your first payment back a week at a time until they are, so you are never charged before your swarm can send. Your plan then renews on that date every month, or every year on an annual plan, at the price shown when you signed up, until you cancel. Each plan sets the number of swarms that can be active at once and the number of businesses contacted per month. Unused volume does not roll over. You can add swarms beyond your plan for $99 a month each, and add Beekeeper to Small Hive or Big Hive for $99 a month. Add-ons are billed monthly alongside your plan and renew until you remove them. You can remove one at any time from your account, effective at the end of the current billing period, and part-months are not refunded.
We may change prices with at least 30 days' notice by email, effective from your next billing period after the notice. A discount code applies for the period stated when it is issued. When that period ends, your plan renews at its normal price. For example, a code for $99 a month for three months on Small Hive renews at $299 a month from the fourth month. Taxes are added where required. If a payment fails we will tell you and try again, and sending pauses until it is sorted out.
6. Cancelling and refunds
You can cancel at any time from your account, or by replying to any email from us, effective at the end of the current billing period. On an annual plan, that is the end of the year you paid for. There are no contracts and no cancellation fees.
If you cancel before your first payment, we charge a one-time setup fee of $29 to the card you gave at sign-up, to cover the sending domains and accounts we registered and built for you. Nothing else is charged. After your first payment, there is no setup fee, and we do not refund part-months or, on an annual plan, unused months. When an account ends, sending stops, and your data is handled as the Privacy Policy describes.
7. No promise of results
We do not promise any number of replies, meetings, customers or sales. Results depend on your offer, your market and your follow-through. Figures shown in the product or on our website are examples or your own account's history, not guarantees.
8. Contact data
The swarm finds business contacts from each business's own public website, openly licensed business listings, public registries, and commercial providers that permit this use. Contact details found for your swarms are provided so that you can hold the conversations the swarm starts.
You may not export them for resale, share them with third parties, or use them in another outreach tool. Email addresses are checked where possible, but some will bounce.
9. Your content and ours
You own your business profile, your offers and your conversations. You give us permission to use them to run the service for you. That includes sending them to the AI model providers that draft your emails, under terms that do not permit those providers to train their models on your content.
We own the software, the design and the DemandSwarm name. We may use information that does not identify you or your contacts to understand and improve the service.
10. Suspension
We may pause sending or suspend an account that breaks the Acceptable Use Policy, that puts deliverability for other customers at risk, that has an overdue payment, or where the law requires it. Where we can, we will tell you first and give you a chance to fix the problem.
11. Availability and changes
We aim to keep the service available and to fix problems promptly, but we do not promise uninterrupted service. The service depends on outside providers for email sending, hosting, data and AI models, and their outages or policy changes can affect it. We may change or retire features, and will give reasonable notice of changes that matter.
12. Warranties and liability
The service is provided "as is" and "as available". To the fullest extent the law allows, we disclaim all implied warranties, including merchantability, fitness for a particular purpose and non-infringement.
To the fullest extent the law allows, neither side is liable to the other for indirect, incidental, special or consequential losses, or for lost profits, revenue, goodwill or data. Our total liability for all claims in any 12-month period is limited to the fees you paid us in that period.
These limits do not apply to your payment obligations, to your indemnity below, or to liability that cannot be limited by law.
13. Your indemnity
If a third party brings a claim against us because of your offer, your content, your use of contact data, or your breach of these terms, the Acceptable Use Policy or the law, you will defend that claim and cover the resulting costs, damages and reasonable legal fees. We will tell you about the claim promptly and cooperate with your defense.
14. General
These terms are governed by the laws of the State of Illinois, without regard to its conflict-of-laws rules. Disputes go to the state or federal courts located in Cook County, Illinois, and both sides accept their jurisdiction.
We may update these terms and will give at least 30 days' notice of material changes by email. If you keep using the service after a change takes effect, you accept it. If part of these terms cannot be enforced, the rest still applies. You may not transfer this agreement without our consent. We may transfer it as part of a sale or reorganization of the business.
